Terms of Service

Please review the terms before using Klavy.

Article 1 Purpose
These Terms of Service govern the rights, obligations, responsibilities, service conditions, paid subscription terms, refund rules, and AI output usage standards between Value Labs, represented by Taebeom Kim (the "Company"), and users of Klavy (the "Service").

Article 2 Definitions
1. "Service" means the web-based AI planning workspace provided by the Company, including idea interviews, PRD and planning documents, information architecture (IA), wireframes, image generation, project storage, sharing, and related functions.
2. "Member" means a person who agrees to these Terms and enters into a service agreement with the Company.
3. "Content" means text, images, planning information, project data, wireframes, files, links, and other materials entered, uploaded, created, stored, or generated by a Member through the Service.
4. "AI Output" means documents, IA, wireframes, images, suggested copy, code, or other output generated by artificial intelligence models based on a Member's input and settings.
5. "Paid Service" means subscription plans, credits, add-on features, or other paid functions provided by the Company.

Article 3 Posting and Amendment of Terms
The Company posts these Terms in the Service or on a linked page so Members can easily review them. The Company may amend these Terms within the scope permitted by applicable law. If these Terms are amended, the Company will announce the effective date and reason through the Service, email, or another reasonable method. If a Member continues to use the Service after the effective date, the Member is deemed to have accepted the amended Terms.

Article 4 Account Registration
A service agreement is formed when a Member enters the required information, agrees to the required terms including these Terms and the Privacy Policy, and the Company approves the application. The Company may reject or terminate an application if the applicant provides false information, uses another person's information, is under 14 years of age, has previously violated these Terms, poses operational or security risks, or violates applicable law.

Article 5 Account Management
Members are responsible for managing their accounts, passwords, and authentication methods. Members may not transfer, lend, share, or provide their accounts as collateral. Losses caused by negligent account management or unauthorized third-party use are the Member's responsibility unless caused by the Company's intent or negligence.

Article 6 Service Description
The Company provides functions for idea refinement, planning documents, IA, wireframes, project management, AI image generation, templates, sharing, and export. The Company may change, suspend, or discontinue all or part of the Service for improvement, operational needs, security, partner or AI model policy changes, or legal compliance.

Article 7 AI Outputs
AI Outputs may vary depending on Member input, selected settings, AI model characteristics, and operating environment. The Company does not guarantee the accuracy, completeness, timeliness, legality, or fitness for a particular purpose of AI Outputs. Members must review AI Outputs before using them for business, development, design, marketing, legal, tax, investment, medical, or other important decisions, and should seek expert advice when needed. Members are responsible for ensuring that use, modification, publication, distribution, and commercial exploitation of AI Outputs does not infringe third-party rights, applicable law, or platform policies.

Article 8 Content and Intellectual Property
Rights to Content entered or uploaded by a Member remain with the Member or the legitimate rights holder. The Member grants the Company permission to process Content as necessary to provide, store, back up, synchronize, share, support, troubleshoot, and improve the Service. Rights to the Service itself, software, UI, design, logos, trademarks, templates, systems, databases, and documentation structures belong to the Company or legitimate rights holders.

Article 9 Paid Services, Payment, and Subscriptions
Fees, scope, billing cycle, usage limits, and credit policies for Paid Services follow the information displayed in the Service. Subscription Paid Services may renew automatically according to the selected billing cycle unless cancelled by the Member. Payments are processed through payment methods or payment processors designated by the Company, and the payment processor's terms and privacy policy may apply.

Article 10 Cancellation, Refunds, and Termination
Members may cancel subscriptions through the Service. If digital content, AI generation, credits, export, storage expansion, or other Service benefits have already been provided or used, cancellation or refund may be restricted under applicable law. If the Company fails to provide Paid Services due to reasons attributable to the Company, the Company will take reasonable measures such as refund, service period extension, or credit restoration in accordance with applicable law and service policies.

Article 11 Prohibited Conduct
Members may not impersonate others, submit false information, create illegal or harmful content, infringe intellectual property or personal information rights, disrupt the Service, attack or probe security vulnerabilities, use abnormal automated access, share or resell accounts, bypass AI model or Service policies, or use the Service for discriminatory, hateful, violent, obscene, fraudulent, spam, or illegal advertising purposes.

Article 12 Service Restrictions and Termination
If a Member violates these Terms or applicable law, or interferes with Service operation, the Company may restrict use or terminate the agreement after prior notice. In urgent cases involving security risks, clear illegality, or likely third-party harm, the Company may take necessary measures without prior notice.

Article 13 Suspension of Service
The Company may temporarily suspend the Service for maintenance, failure, network issues, cloud or AI model provider failure, security incidents, force majeure, or legal or administrative orders. The Company will notify Members in advance where possible, or afterward in urgent cases.

Article 14 Disclaimer and Liability
The Company is not liable for failure to provide the Service due to causes beyond its reasonable control. The Company is not liable for business losses, lost profits, or disputes with third parties arising from a Member's use of information or AI Outputs obtained through the Service, unless caused by the Company's intent or gross negligence.

Article 15 Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Korea. Disputes between the Company and Members will first be resolved through good-faith consultation. If consultation fails, disputes may be submitted to the competent court under applicable law.
